In their own words

Capboard

Capboard manages company equity and gives stakeholders visibility into their holdings. Its cap table tracks equity history and supports projections for funding rounds and company sales. Users can model funding and exit scenarios, including dilution, voting rights, and shareholder payouts. Employee equity tools cover options, phantom shares, warrants, SARs, vesting schedules, and automated grant letters. Capboard also supports investor updates, metric reporting, board management, and shareholder meetings. Its virtual data room provides secure document storage and sharing, contract templates, and Capboard e-signature. The service is available on the web and self-hosted. Listed safeguards include Google and Microsoft SSO, two-factor authentication, administrator controls, and GDPR-compliant hosting on AWS servers in the EU. Role-based access can be assigned to founders, investors or advisers, employees, and collaborators, with user access and changes monitored. Capboard is intended for founders, investors, employees, and lawyers working with company equity. A free plan and 14-day trial are listed, with paid plans from €270/yr. Stakeholder counts exclude external collaborators such as lawyers.

CapSign

CapSign is a web-based cap table of record for private companies, combining equity, governance, and fundraising workflows. Companies can track share classes, options, RSUs, vesting, acceleration, 83(b) activity, ISO $100k limit tracking, dilution scenarios, and fundraising modeling. Registers can remain on CapSign, use public onchain lots, or use a confidential onchain register. CapSign says onchain registers run on Base Sepolia and will move to Base mainnet with the first verified issuers. Holder names are never public, while capitalization totals appear publicly only when a company opts in. Issuers can open Rule 506(b) or 506(c) placements where investors verify, sign, and pay, with shares issued at closing. Email signatures update records after the final signature. Companies can import or export Open Cap Format files. Investors can review holdings, sign documents, fund subscriptions by wire, and track vesting and 83(b) deadlines. Pricing is on request.
