EsopNxt is a web-based, cloud ESOP administration system for listed companies in India. It follows stock-option grants from issue through vesting, exercise, and lapse, retaining an audit trail. Vesting schedules may be time-based, milestone-based, or performance-based. Exercise workflows support cashless and cash-funded exercises, with broker integration where applicable. The system generates forms and reports aligned to current SEBI ICDR Regulations. Grantees use a mobile-friendly portal to view, model, and exercise awards. Companies can run what-if scenarios for board approvals, examining dilution, expense, and vesting outcomes. EsopNxt also supports tax reporting and valuation, with advanced vesting-rule support. Dolphin Infotek describes encryption in transit and at rest, access controls, security assessments, updates, and employee data-protection training. The maker aims for 99% uptime but does not guarantee continuous availability.
